NexBank Capital Raises $150M in Common Equity to Fund Texas Bank Growth

The Dallas parent of the largest privately held bank in Texas has now raised $540 million in equity since 2021.

NexBank Capital, Inc., the Dallas-based parent of NexBank, has completed a $150 million common equity capital raise. The financial holding company announced the offering of non-voting common stock, which closed on September 29, 2026.

The raise brings NexBank Capital's total equity offerings to $540 million since 2021, a steady run of capital formation for a privately held bank over a five-year stretch that included sharp interest rate swings and a wave of regional bank stress.

What NexBank Capital Does

NexBank Capital is a financial holding company with $18 billion in total assets. Through its subsidiaries it provides institutional banking, commercial banking, mortgage banking and personal banking services.

Its primary subsidiary, NexBank, is the largest privately held bank in Texas by assets. Unlike most banks of its size, it is not publicly traded, which means it raises equity through private offerings such as this one rather than on the stock market.

How NexBank Will Use the $150M

The company said the proceeds will serve as growth capital and be used for general corporate purposes in support of what it calls an opportunistic growth strategy.

For a bank, equity capital is the foundation everything else rests on. Regulators require lenders to hold capital in proportion to their assets, so new equity directly expands how much a bank can lend and how large its balance sheet can become. A $150 million injection gives NexBank room to add loans, pursue new business lines or act quickly when attractive assets come to market.

Structure of the Offering

The shares sold were non-voting common stock. That structure lets a company bring in new capital that counts toward its equity base without changing who controls the business, a common approach among closely held banks.

Cantor Fitzgerald & Co. served as financial advisor on a $75 million portion of the offering. Hunton Andrews Kurth LLC acted as legal counsel. The company did not name the investors who purchased the shares.

Why the NexBank Raise Matters

Bank capital raises tend to draw less attention than venture rounds, but they say a good deal about investor confidence. Persuading buyers to take non-voting shares in a private bank requires a credible growth story and a balance sheet that holds up to scrutiny.

NexBank has now done that repeatedly. Raising $540 million in aggregate since 2021 points to consistent investor demand and a deliberate strategy of building capital ahead of growth rather than in reaction to it.

The timing also fits a broader pattern in Texas banking, where population growth and corporate relocations have increased demand for commercial and mortgage lending. A larger capital base positions NexBank to compete for that business against both national lenders and regional rivals.

With $18 billion in assets and fresh equity on hand, the company enters the final quarter of 2026 with added capacity to grow on its own terms.
